1. Agreement to Terms
By using Kura Technologies’ Services, you agree to these Terms & Conditions (“Terms”). If you do not agree, you must stop using our Services immediately.
2. Definitions
Kura, we, our, or us: Kura Technologies, the operator of the Services.
Services: All products, websites, mobile applications, and technology platforms provided by Kura.
Sponsor: An individual, business, or organization that initiates and funds transactions (including “sponsorships”) for the benefit of recipients (e.g., beneficiaries, merchants, or organizations) through the Services.
Recipient: The individual, business, or organization receiving funds from a Sponsor through the Services.
3. Services Provided
Kura offers digital payment solutions, including cross-border transfers, merchant acceptance, and related fintech services. We may update, modify, or discontinue features at any time.
4. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into binding agreements.
5. Account Registration & Security
You are responsible for:Providing accurate and complete information
Maintaining the confidentiality of your account credentials
Notifying us immediately of any unauthorized use
6. Acceptable Use
You agree not to:Use our Services for unlawful purposes
Engage in fraudulent or deceptive activity
Circumvent security or technical controls

7. Sponsor Funding Obligations and Liability for Payment Failures
7.1 Funding Responsibility
By initiating a sponsorship or funding transaction, the Sponsor authorizes Kura to process the related payment using the Sponsor’s linked bank account, card, or other payment method. Sponsors must ensure that sufficient cleared funds are available in the funding account at the time of transaction initiation and until settlement is complete.
7.2 Pre-Funded Transactions and USDC Settlement
In certain cases, Kura may pre-fund a recipient wallet (e.g., with USDC) upon initiation of a Sponsor’s transaction to enable instant availability of funds to the recipient. In such cases, Kura treats the incoming transfer as confirmed at initiation, even if settlement from the Sponsor’s funding source has not yet occurred.
7.3 Liability for Insufficient Funds (NSF) and Payment Failures
If the Sponsor’s payment fails for any reason — including but not limited to insufficient funds (NSF), ACH return, payment method revocation, bank account closure, or disputed transactions — the Sponsor remains fully liable to Kura for the full transaction amount, regardless of whether the recipient has already accessed or spent the funds.
7.4 Recovery of Funds
Kura reserves the right to recover failed transaction amounts directly from the Sponsor through:Automatic debit of the linked payment method(s)
Debit of any balances held in the Sponsor’s Kura account or associated wallets
Direct collection efforts using the Sponsor’s KYC-provided contact and payment details
Third-party collection agencies or legal action
Sponsors agree to reimburse Kura for any reasonable costs, including collection fees, legal fees, and interest charges, incurred in recovering the outstanding amounts.
7.5 No Liability Shift to Kura
The Sponsor acknowledges that Kura bears no liability for losses arising from payment failures or insufficient funds in the Sponsor’s account, and that the Sponsor’s funding obligation survives any dispute with a recipient or other third party.
8. Compliance Obligations
You agree to comply with all applicable laws, including anti-money laundering (AML), counter-terrorist financing (CTF), sanctions, and tax reporting obligations.
9. Fees
Fees for Services will be disclosed before transactions are processed. All fees are non-refundable unless required by law.
10. Intellectual Property
All content, trademarks, and technology used in our Services are owned by or licensed to Kura. You may not reproduce or distribute them without permission.
11. Third-Party Services
Our Services may integrate with third-party providers. We are not responsible for the availability, content, or performance of these providers.
12. Limitation of Liability
To the maximum extent permitted by law:We are not liable for indirect, incidental, or consequential damages
Our total liability for any claim will not exceed the total fees paid to us in the 12 months preceding the claim
13. Indemnification
You agree to indemnify and hold Kura harmless from any claims arising out of your misuse of the Services or violation of these Terms.
14. Termination
We may suspend or terminate your access to the Services at our discretion, including for breach of these Terms or legal compliance reasons.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the jurisdiction where Kura operates. Disputes will be resolved through arbitration or in the courts of that jurisdiction.
